Bitwise Bitcoin ETF has entered into an Asset Purchase and Contribution Agreement with Osprey Bitcoin Trust and their respective sponsors. In this agreement, Osprey Trust will sell all its owned bitcoin to Bitwise Bitcoin ETF in exchange for shares of beneficial interest of Bitwise Bitcoin ETF. The transaction is expected to close in Q4 2024, subject to certain conditions, including SEC registration of the shares. Following the completion of the sale, Osprey Trust will undertake a dissolution and liquidation process.
